Lawyer Overview

Winnie Sim focuses her practice on securities offering and reporting for publicly held companies, and corporate governance. She has experience in a variety of business areas in both domestic and international settings, including corporate governance, mergers and acquisitions, contract negotiations, and tax restructuring matters. She has also worked on bankruptcy and credit matters.

Prior to joining Baker Hostetler, Ms. Sim spent 11 years as a paralegal for a FORTUNE 20 global healthcare company. In her role, she managed the corporate governance affairs for more than 300 domestic and international entities. Ms. Sim performed due diligence and drafted resolutions, disclosure schedules, and closing checklists for a variety of transactions. She also reviewed and negotiated confidentiality agreements, terms and conditions, purchase orders and consultancy agreements. In addition, she drafted proof of claims, demand letters, reclamation letters and loan documents. Ms. Sim also assisted with domestic and international tax restructuring projects, including the formation of off-shore tax holding structures, facilitation of a spin-off, and defending foreign tax incentives.

While in law school, Ms. Sim served as a judicial extern for the Honorable Evelyn Lundberg Stratton, Justice of the Supreme Court of Ohio.

Ms. Sim is the recipient of Baker Hostetler's Paul D. White Scholarship. She is also the recipient of the CALI Awards for Corporate Governance, Securities Regulations, International Law, and Interviewing and Counseling.

Ms. Sim is fluent in several languages, including Malay, Mandarin and Cantonese.
