Lawyer Overview
Guillermo Larrea practices in the areas of general corporate, transactional, securities, and finance law, with a primary focus on mergers and acquisitions and business restructurings. He has participated in a number of equity and asset acquisitions and dispositions for Mexican and international companies in the steelmaking and chemicals industries, among others.
Recent representative transactions in which he has played a key role include the acquisition of a chemical plant and the subscription of collateral in Querétaro, Mexico, credit refinancing for a publicly traded company on the Mexican Stock Market, and the sale of substantial assets of a major wholesale distributor in Mexico.
Guillermo also represents financial entities, including mutual funds. He assists in the incorporation of asset management companies, mutual funds, and referral distributors. Additionally, he participates as an independent board member of asset management companies and mutual funds.
Guillermo advises on matters related to the fight against corruption, its identification, and remediation. He assists clients with the implementation and follow up of corporate compliance programs, including company policies regarding code of conduct, anticorruption, antitrust, and the use of information; the review processes for the confirmation of regular compliance; and training sessions geared to high-level directors and employees. He also acts as internal comptroller or ombudsman in the review of such compliance programs.
Guillermo lectures on corporate governance at the Universidad Panamericana in Mexico City and co-authored the book Apuntes en Gobierno Corporativo (Notes on Corporate Governance).
He is a member of the Mexican Bar Association (Barra Mexicana Colegio de Abogados).
