BIOGRAPHY

 

Ms. Larsen has over 25 years of experience in all phases of contracting, including negotiation, drafting, and final analysis.  Ms. Larsen has an extensive background in business transactions and she routinely advises on these matters related to software licensing, product migration and evaluation, trademarks, probate, entity formation, and entity compliance. Ms. Larsen has considerable experience with technology development and transfer matters and was Chair of the Colorado Bar Association Technology Law and Policy Section.  Ms. Larsen has obtained significant experience contracting in the areas of trademark licensing, advertising, promotional events, celebrity endorsements, models, actors, consultants, promoters, major league athletic teams as well as venues, original work for hire, promoters, marketing research firms, and film and television studio personnel.

Contract Attorney, J. Brown & Associates.  Ms. Larsen negotiated and drafted a wide variety of transactional, procurement, software licensing, equipment, web advertising agreements for startup organizations to fortune 500 companies and provided counsel to start up companies with respect to entity selection and formation.

 

Contracts Attorney, Quovadx, Inc.   Ms. Larsen negotiated and drafted intellectual property software licensing agreements, such as channel partner, product migration, OEM, VAR, End User agreements; escrow agreements; provided contract review, established new policies, created contract exception reports for executive staff, and provided risk/exposure analysis. 

 

Law Clerk, Adams County Courthouse , Adams County, Colorado , Judge Donald Marshall, Jr.  Provided assistance and research to a district court judge.  Ms. Larsen researched, studied, and annotated laws, court decisions, documents, opinions, briefs, and related legal authorities to process suits, trials, hearings, appeals, and other litigated matters.  Ms. Larsen also read and digested opinions, briefs, and motions and extracted excerpts pertinent to points of law and fact; prepared briefs, legal memoranda, and statement of issues involved in a case, including appropriate suggestions or recommendations to the judge. 

 

Contract Manager, Astracon, Inc. Ms. Larsen d rafted, reviewed, and negotiated international computer software licensing agreements, amendments, and agreements such as OEM, VAR, SI, End User, Master and Subcontractor, Demonstration and Evaluation license grants, reseller and distributor, consulting, and professional services.  Ms. Larsen worked with the product development teams to find creative solutions to licensing issues for OEM channels.  Reviewed and responded to RFPs.  Assessed corporate risks and provided recommendations of alternatives to CEO, CFO and VP Sales for non-standard language.    Ms. Larsen also analyzed the business viability of contract requests and presented same to the Officers.  She rewrote the existing corporate NDAs to expand coverage and protections.  Ms. Larsen established internal and external electronic architecture for legal department, reviewed and rewrote employee handbook, and established various policies, procedures and controls for corporation.  She also established criteria for and performed internal audit of software licensing agreements and established controls for same.

 

Contracts Specialist, Printrak International, Inc.   Ms. Larsen d rafted, reviewed, and negotiated computer software licensing agreements, including related agreements or subcomponents, such as:  maintenance and services, system integration, technical development, technology transactions; value added reseller, teaming, source code escrow, copyright, non-disclosure, confidentiality, reseller and distributor, consulting and professional services.  Ms. Larsen created standardized form contracts and clauses, including subcontractor and master subcontractor agreements and established internal electronic architecture for same.  She contracted with various government entities and municipalities for installation of hardware and software. 

 

Contracts Specialist, U S West, Inc.   Ms. Larsen drafted and negotiated telecommunications agreements for governmental, internet, G.S.A. Federal, resale, and wireline contracts and created new resolutions for various Y2K matters.  Ms. Larsen had in-depth experience with FARs during this time.  Ms. Larsen streamlined internal procedures and processes for government contracts and ensured that contract terms conformed to legal and business requirements as well as company policies.

 

Law Clerk, EAS. Ms. Larsen drafted and researched standardized contracts and created a customized electronic contract manual to enable non-legal personnel to draft contracts with pre-approved clauses.  Ms. Larsen drafted transactional agreements for trademarks, reseller and distributor agreements, non-disclosure agreements, professional services, development, confidentiality agreements, intellectual property, original works for hire, advertising, internet, and personnel policies.  Ms. Larsen worked on FDA, FTC statute interpretation and investigation, and researched issues and created legal documentation for acquisitions, terminations, and transfers of alcohol beverage distributorships and franchises for overseas corporation.

 

Law Clerk & Accountant, Tate Kelley & Tate, P.C.   Ms. Larsen was responsible for all accounting in general practice law firm, including client billing through tax returns, and legal research of Title VII and employment matters.  Complete audit of past firm finances, resulting in federal and state tax refunds for the firm. 

 

Advertising Contract Specialist, Buyer, Accountant, Coors Brewing Company.   Ms. Larsen structured, drafted, and negotiated transactional agreements in the areas of marketing, sales, and procurement contracts for goods and services, trademark, advertising, promotional events, attorneys, national celebrity endorsements, models, actors, consultants, promoters, major league athletic teams and venues, original music, promoters, marketing research firms, and television studio personnel. Ms. Larsen traveled the United States to train field personnel and suppliers as required.   Ms. Larsen wrote company policy, created procedure manuals, and created internal forms for drop shipments, distributor fleet maintenance program, and management evaluation procedures and criteria.  Ms. Larsen also drafted and designed a contract manual consisting of numerous standardized agreements and pre-approved clauses which enabled non-legal personnel to draft company agreements, resulting in ability to handle a 192% increase in productivity without additional staffing and realizing a multi-million dollar cost savings for the corporation.
