Lawyer Overview

Karen Ward Procell is a real estate lawyer whose experience spans the full range of practice, with an emphasis on representing developers, owners, sellers and buyers in the acquisition, disposition, financing, leasing, development, construction, operation and management of commercial and residential real estate projects. Ms. Procell’s practice extends to counseling clients in the areas of general, corporate and individual business planning and transactions.

Ms. Procell’s representation has included: the negotiation, documentation and closing of the sale, purchase and financing of hotels, apartment complexes, warehouses, office buildings, shopping centers and vacant land; the formation, operation and dissolution of joint ventures and community development districts; negotiation of lease and license agreements; loan workouts and restructurings; property owner’s association formation and operation; and resolution of title and survey issues.

Prior to joining Baker Hostetler, Ms. Procell was Regional General Counsel for Centex Homes, one of the largest national production home builders. In addition to handling all aspects of real estate transactions, Ms. Procell handled a broad range of legal matters for multiple divisions of Centex Homes, including, negotiation of construction agreements; management of construction defect claims and vendor contract and lien disputes, worker’s compensation matters and labor and employment-related issues.
