Burgee & Abramoff, Professional Corporation, is a law firm comprised of licensed California attorneys, with over 19 years of experience in forming and maintaining California corporations and limited liability companies for our clients.

Unlike the majority of start your business services, our company provides sound legal advice for our clients...the kind of advice necessary in making decisions on when to start a business, the protections afforded by corporations and limited liability companies, and the issues confronted on a daily basis. We work closely with a variety of Certified Public Accountants in order to direct our customers toward tax planning professionals. Often, other providers merely offer to form the companies, without consulting with the clients on their specific needs and desires.

STARTING A NEW BUSINESS

Starting a new business is an exciting and invigorating event. There are so many things to do.....selecting a name, creating a business plan, scouting locations, considering your customer base, establishing pricing policies, reviewing your products or services, concocting a marketing approach... While considering all of these aspects, you will also need to decide which business entity best suits your needs.

There are five basic business entity choices available to business owners:

Corporations
Limited Liability Companies
Sole Proprietorships
General Partnerships
Limited Partnerships

While the attorneys at Burgee & Abramoff are qualified to provide you with legal services on any of the entity choices, for a variety of reasons, we usually urge our clients to consider a Corporation as its best choice for business.

For each new corporation formed the law firm of Burgee & Abramoff, Professional Corporation, will perform the following work:

Initial Consultation on choice of entity and formation
Preliminary name availability search
Preparation and filing of Articles of Incorporation (including payment of filing
fees)
Preparation of Corporate By-Laws
Preparation of Incorporator Actions
Preparation of First Action by Board of Directors
Preparation and filing of Notice to California Commissioner of Corporations for exemption of registration pursuant to Section 25102(f) of the California Corporate Code (incl, payment of filing fees, with additional charges if initial capital exceeds $25,000)
Preparation of Stock Ledger for initial issuance of shares
Preparation of share certificates to be issued
Preparation and filing of the initial Statement of Information (including payment of filing fee)
Obtaining Corporate Kit, including binder, stock certificates and corporate seal
Preparation of form SS4 application for Federal Tax ID Number (usually acquired within 24 hours of date that Articles are returned)
Preparation and filing of Corporate S tax status election, if desired.
Notification to the California Franchise Tax Board of corporation's mailing address
Acting as corporation's agent for service of process for the first year of the corporation for no additional fee.
Follow up consultation with attorney
