Lawyer Overview
Kaoru Umino represents investment banks, commercial banks, and export credit agencies in a wide range of cross-border financing transactions, with particular emphasis on corporate finance, structured finance, securitization, and debt restructurings. She also has represented issuers, underwriters, and arrangers in international capital markets transactions.
Kaoru's experience includes advising the arranger in a series of commercial mortgage-backed securities offerings involving real estate assets and nonperforming assets in Japan. Kaoru also has represented Japan Bank for International Cooperation (JBIC) and leading Japanese commercial banks as lenders in major export-import and project financings in Latin America and Asia. In addition, she advised JBIC in connection with the securitization of collateralized debt obligations of small to medium-sized Korean enterprises. Most recently, Kaoru has been engaged in advising Japanese interests in cross-border bankruptcy and debt restructuring matters.
Additional clients for which Kaoru has worked on substantial matters include JPMorgan, Mizuho Corporate Bank, Morgan Stanley, and Sumitomo Mitsui Banking Corporation.
Prior to joining Jones Day, Kaoru was a managing director and associate general counsel of JPMorgan Securities Japan, Limited, managing the legal and compliance department of JPMorgan in Japan. Prior to working for JPMorgan, Kaoru was a partner in the Tokyo office of an international law firm.
