Lawyer Overview

David practices corporate and securities law, with a focus on mergers and acquisitions and private equity investments. He has represented a broad range of clients, including the private equity firms American Industrial Partners, Apollo Management, Colony Capital, Fremont Partners, and The Riverside Company; various investment banks; and companies such as Hewlett-Packard, SAP, and United Air Lines. David's representations have included:

• Colony Capital in its leveraged buyout of Harveys Casino Resorts

• SAP in its acquisition of Israeli assets of Ness Technologies

• Fremont Partners in its leveraged acquisition of Software Architects, an IT consulting company, and in its leveraged recapitalization of Tapco International, a specialty tools and accessories manufacturer, and a related 144A financing

• Easco Aluminum (sponsored by American Industrial Partners) in a tender offer by Caradon

• Apartment Investment and Management Company in its acquisition of real estate interests controlled by Harvard Private Capital, including a public merger with NHP Partners, and in various follow-on offerings

• Hewlett-Packard in its minority investment in Indigo (subsequently acquired by HP)

• United Air Lines in connection with AMR Corp.'s membership in Orbitz, a joint venture among the five major U.S. airlines and other travel service providers

• Salomon Smith Barney and Donaldson Lufkin & Jenrette in various follow-on offerings of common and preferred stock by Public Storage

• Merrill Lynch in follow-on offerings by Essex Property Trust

• Juno Lighting, a specialty lighting manufacturer, in a 144A financing and associated exchange offer and

• McKesson in a 144A placement of notes and debentures.

David was previously a founder and principal at a bioinformatics start-up and assistant general counsel at an investment bank sponsored by Charles Schwab, Ameritrade, and TD Waterhouse that was acquired by Goldman Sachs.

He is also a board member and secretary and interim treasurer of Homeless Prenatal Program, a $5 million nonprofit in San Francisco.
