Jeanne practices business law with an emphasis on mergers and acquisitions, foreign direct investment, and corporate governance. She has extensive experience in the representation of major foreign companies on cross-border transactions, including mergers and acquisitions, joint ventures and strategic alliances, international/PRC taxation, technology licensing and transfers, corporate finance, corporate procurement, and general corporate and commercial matters. Prior to joining Jones Day, she worked as a senior corporate counsel for the legal department of a well-known multinational corporation for several years, where she obtained in-house experience working for the head office in the U.K.
Jeanne has represented a broad spectrum of industries, including information technology, real estate, steel, railway, and engineering companies; investment banks; and manufacturers. Her recent deals include:
Amsted Industries in the establishment of a joint venture company with China North Rolling Stock Corp. (CNR), assignees of China Ministry of Railway, in Xinyang, Heinan Province, with a total investment of more than RMB670 million, including the joint venture agreement among shareholders, the technology license and technical service agreement between Amsted and the new JV, and the restructuring of another joint venture for the purpose of CNR's IPO of A stocks in SSE.
Electronic Data Systems in the acquisition of equity interests in two different local Chinese software enterprises in Beijing and Shanghai.
SAS Institute in connection with the establishment of a R&D center in Beijing, the establishment of a trading company in Beijing, and the merger and restructure of the Beijing trading company and an existing subsidiary in Shanghai.
Interbrew S.A. in its acquisition bid for the equity interests of a Chinese brewage company.
PalmSource in its acquisition of a local Chinese software company and the software design outsourcing to its Chinese subsidiary.
Marconi Communications in its acquisition of Nokia's optical network business in China, including the joint venture in Guilin, and the acquisition of Fore Systems' business operation and assets in China.
Vossloh AG in the establishment of four joint ventures with different Chinese partners for separate business divisions under Vossloh Group and in bidding for the high-speed railway project at the Ministry of Railway.
Libbey in the establishment and construction of its first wholly owned factory in Langfang, Hebei Province, including the design and engineering, employee secondment, and equipment and material procurement contracts, as well as advising on PRC construction regulation compliance and PRC tax matters.
Washington Group in its tender offer in a nuclear power program; engineering, construction compliance, and tax advice on its PRC projects; and disposal of assets and repatriate investment of two WFOEs in China.
Leisure Retail Property in a potential merger with a major Chinese real estate development corporation in Beijing and in a potential sale of its equity interests and assets to a real estate consortium in Ningxia Province.
