Lawyer Overview
Linda Hesse advises clients in the areas of capital markets, securities, public M&A, and corporate governance under both US and French law. She acts for issuers with respect to their listings on the Paris and/or US stock exchanges and in regulatory matters before securities regulators (the SEC and the French AMF). Linda also advises financial institutions in their role as advisors in offerings of equity, debt, and complex instruments. She is head of the Paris Office Capital Markets Practice.
Notable issuer clients include France Telecom, for ongoing securities compliance, corporate governance, and offerings of debt and equity securities and in its acquisition of various public and private companies; Veolia Environnement on its US shelf registration program; and Wavecom on its ongoing securities compliance, convertible bond offer, and the public tender offers for its shares, resulting in its acquisition by Sierra Wireless. Prior to joining Jones Day, Linda represented issuers such as STMicroelectronics and Groupe Danone.
Investment bank clients include Calyon, Société Générale, and Danske Bank, among others, on the capital increases by Neurosearch, DSV A/S, and Getinge. Prior to joining Jones Day, she advised the underwriters in capital increases and IPOs for companies such as Rhodia, Vinci, and Saft.
From 1994 to 2004, Linda worked with the law firm of Shearman & Sterling in New York and in Paris. She subsequently worked for two years as a partner at Freshfields Bruckhaus Deringer in Paris.
She is a member of the International Bar Association and secretary of its Securities Law Committee.
