Lawyer Overview

Linda Hesse has been practicing in the areas of capital markets, securities, and corporate governance for more than 12 years and is head of the capital markets practice in the Paris Office.

Linda acts for issuers with respect to their listings on the Paris and/or New York stock exchanges (notably France Telecom, Wavecom, Ipsen, Orange, and Parrot) and in regulatory matters with the AMF (Autorité des Marchés Financiers) and the SEC. She advises public companies on general securities law matters, in particular, equity, equity-linked and complex debt issuances (France Telecom, Veolia Environnement, and Wavecom), and public tender offers such as Sierra Wireless's tender offer for Wavecom and France Telecom's acquisition of Orange minority shareholdings.

Linda also regularly advises investment banks — such as BNP Paribas, Calyon, Danske Bank, Deutsche Bank, Morgan Stanley, and Société Générale — on capital markets transactions such as the capital increases of Getinge, Neurosearch A/S, Rhodia, Suez, and Neurosearch initial public offerings.

Prior to joining Jones Day, Linda worked for 10 years with the law firm of Shearman & Sterling in New York (1994-1995) and in Paris (1996-2004) and for two years with the law firm Freshfields Bruckhaus Deringer in Paris.

Linda is listed as one of the leading capital markets lawyers in France in the guides Chambers Global, Chambers Europe, PLC Which lawyer?, and The Legal 500 EMEA.

She is a member of the International Bar Association and chairs the Sub-Committee for Regulatory Affairs, which is part of the Securities Law Committee.
