Lawyer Overview
Hui Tian has more than 17 years of experience providing legal counsel for international transactions in Pacific Rim countries, particularly relating to China.
Hui's practice focuses on advising U.S. and international investors and multinational corporations on general corporate, commercial, and international business transactions in foreign investment matters, including mergers and acquisitions, divestitures, joint ventures, corporate and JV restructurings, IP licensing, R&D joint development transactions, strategic alliances, corporate compliance, and employment-related matters.
After practicing in private practice in the United States for 10 years, Hui moved in-house to Lucent Technologies and was expatriated to China as primary corporate counsel supporting Lucent's China operations. At Lucent, Hui advised on general corporate, commercial, and foreign investment matters in connection with Lucent's 13 China-based entities and Bell Labs. She also served on the board of directors of Lucent's China holding company. Hui provided counsel on implications of U.S. and Chinese laws in connection with Lucent's business strategies and foreign direct investment matters in China. She led a variety of transactions, including mergers and acquisitions, divestitures and JV restructurings, IP licensing and technology transfers, and R&D joint development transactions. Hui led various high-impact commercial negotiations, including a more than $400m CDMA master supply contract with China Unicom. She also led negotiations for agreements on sales and distribution, OEMs, procurement, and others needed to support the operation and development of Lucent's wide range of technologies.
Throughout her legal career, Hui has advised U.S. clients, including multinational corporations, on foreign direct investment matters and structured, negotiated, and prepared documentation for the formation and restructuring of international joint ventures, including advising on related taxes, investment incentives, customs duties, and IP licensing and technology transfers. She was also appointed by the court as an arbitrator for a commercial dispute in the U.S.
