Michael Considine's practice is focused on mergers and acquisitions and general corporate representation of public and private companies. Michael has worked on a number of transactions, including acquisitions, divestitures, mergers, joint ventures, recapitalizations, and other significant events for public and private companies. In addition, Michael has prepared presentations and guidance for corporate secretaries and boards of directors on various corporate governance matters. Recent projects include representation of:

• Procter & Gamble in the merger of Folgers coffee business with The J.M. Smucker Company (reverse Morris Trust transaction; $3.3 bn value)

• H&R Block in the sale of its mortgage loan servicing business (Option One Mortgage Corporation) to American Home Mortgage (W.L. Ross & Co.) ($1.1 bn value); previously represented H&R Block in the proposed sale of OOMC to Cerberus Capital Management and

• Sprint Nextel in the acquisition of Nextel Partners following Nextel Partners' exercise of its put right ($7.5 bn value).
