Law Firm Overview

Marichal & Hernandez PSC was founded in January 1988 by Antonio E. Marichal, Esq., and Pedro Hernandez-Reyes, Esq., also a Certified Public Accountant, primarily for the practice of tax, corporate, and commercial law.

The founding partners, prior to the establishment of the firm, gained extensive professional experience while working at the tax departments of international accounting firms in Puerto Rico (Arthur Andersen & Co. and Ernst & Young), which made it natural for them to initially engage in the above-described practice areas.

The firm has grown from its original size of two partners and an associate to its present size of four partners and four associates. Parallel to said growth, the initial tax practice has substantially diversified, and developed to include the following practice areas: Employment Law and Litigation, Commercial and Civil Law and litigation, Municipal law, Bankruptcy Law and litigation, Professional (Medical and CPA malpractice) litigation, Federal and Local Court appellate practice, real estate law, construction law, immigration law and practice, estate planning and succession law and related matters, and other general Corporate and Civil Law matters.

In the past ten years the firm has been actively involved in "transactional practice" representing buyers or sellers of businesses. The transaction amounts have ranged in size from $250,000 to $100,000,000. This type of practice involves the entire gamut of the legal process involved in the sale or acquisition of a business, whether an asset or stock sale. It typically involves design of the structure of the transaction, the preparation of sale and purchase agreements, equity structure and shareholder agreements and corporate, review and negotiation of financing-loan agreements as well as coordination of buyer or seller due diligence.

Furthermore, due to the increased demand of its clients, its commercial, employment practices liability and related practices violation, specifically employment discrimination and benefits litigation practice has flourished in recent years; representing clients both in local and federal courts.

The profile of the members and associates of the firm is a lawyer with strong business skills and ability to comprehend fairly complex business arrangements and transactions. All of the partners and associates possess a strong business background, two of whom are also Certified Public Accountants.
