Scott R. Reynolds is an associate in the Real Estate Group of Gilchrist & Rutter. His practice focuses on all aspects of real estate and corporate transactions, including acquisitions, dispositions, development, first mortgage and mezzanine financing, joint ventures, tax-deferred exchanges and leasing.

Mr. Reynolds received his J.D. from Columbia University School of Law and was recognized as a Harlan Fiske Stone Scholar. While at Columbia, he was a member of the Columbia Journal of European Law and participated in the Foundation Year Moot Court Program as participant, editor and student judge. Mr. Reynolds graduated cum laude from DePauw University, earning his B.A. in Political Science and Computer Science.

Prior to joining Gilchrist & Rutter, Mr. Reynolds was sole in-house counsel for a diversified real estate company based in Los Angeles, and was previously an associate with a major international law firm.

Representative Experience:

  • Oversaw all legal matters for a privately-held real estate investment company specializing in 1031 exchange replacement properties with a $1,500,000,000 commercial real estate portfolio consisting of retail and multi-family residential properties, including drafting and reviewing of purchase and sale agreements, offering documents, private placement memoranda, tenant-in-common agreements, property and asset management contracts and leases.
  • Represented national private equity firms in connection with the provision of more than $500,000,000 in high-yield real estate secured and mezzanine financing, including due diligence, drafting and negotiation of term sheets and loan documentation and closing of the transactions.
  • Negotiated, documented and closed the purchase of a distressed first mortgage loan secured by a ground lease with the San Diego Port Authority.
  • Represented national private equity firm in connection with the documentation of joint ventures with local development and operating partners, including preparation and negotiation of LLC operating agreements, development agreements, joint venture agreements and management agreements.
  • Represented a national life insurance company in connection with all western United States real estate secured portfolio lending, including due diligence, drafting and negotiation of loan documentation and closing of the transactions, and involving loans ranging in size from $10,000,000 to $50,000,000.
  • Represented a national private equity firm in the sale of a ski resort and the related business, including the preparation and negotiation of the purchase and sale documentation, license transfers, and closing of the transaction.
  • Represented a major pension fund in closing the sale of a portfolio consisting of five Doubletree hotels located in five states.
  • Advised large investment bank in the sale of more than $200,000,000 of "B-piece" subordinate real estate secured loan positions, including preparation and negotiation of sale documentation and intercreditor agreements.
  • Representation of numerous property owners in the preparation and negotiation of commercial real estate leases.
