Lawyer Overview

Bob Miller has a wealth of experience in corporate law, mergers and acquisitions, intellectual property strategy, technology licensing, contract law, litigation and claims defense, and international trade. During a lengthy tenure as corporate general counsel for one of the top 25 Fortune 500 companies, he developed strong legal teams both domestically and internationally focusing on meeting the ever changing legal landscape. He has proven himself to be an effective and valued counsel to senior global executives.

Bob's representative clients include Procter & Gamble, Activision Publishing, Reckitt Benckiser, Kroger Co., and Cardinal Health. His notable representations prior to joining Jones Day include Procter & Gamble's $57 billion acquisition of Gillette, acquisition of Hutchison Whampoa's interest in P&G China, the $1.2 billion sale of P&G's pulp division to Weyerhauser and to private equity interests, acquisition of local Chinese partners' interests in more than 10 China joint ventures, acquisition of local partners' interests in joint ventures in India and Vietnam, divestiture of the Japanese Colac brand to Taisho Pharmaceuticals, acquisition of Long Chen Taiwan Paper Company and Ssangyong Paper Korea, and major financings in the U.S., Europe, and Japan.

Bob has negotiated major supply and technology agreements in the chemicals, pulp and paper, and consumer goods industries in the U.S., Europe, Asia, and Latin America. He has substantial experience in outsourcing contracts for IT, human resources support, consumer services, and financial transactions involving major companies such as Procter & Gamble, Hewlett Packard, EDS, ACS, IBM, and Sykes.

Bob's major cases have included recovery of more than $100 million from insurers, extensive mediation experience to resolve lawsuits, and monetary and intellectual property disputes involving such major global companies as Procter & Gamble, Johnson & Johnson, Kimberly-Clark, Colgate, UniCharm Japan, and Hutchison Whampoa China in the U.S., across Europe, and in Asia. His experience in successfully handling a variety of Asian transactions is a result of his several years living in Japan from where he worked across Asia and managed the corporate Asian group and built enduring relationships with Asian associates, diplomats, and dignitaries. Bob has extensive experience in creating and providing effective counsel to companies starting or operating in China and Japan.

Bob also has provided counseling to clients on option backdating issues and more broadly on corporate governance and SEC matters. He has a great deal of experience in dealing with regulatory and public relations challenges across the consumer goods industry. He has a depth of experience in advertising and marketing disputes in the U.S. and globally. Bob has led teams dealing with major antitrust matters in the U.S., Europe, Asia, and Latin America.

Bob has served as a contributor to the President's Advisory Committee on Federal Procurement, as a director of the New England Legal Foundation, and on the advisory board of the Center for American and International Law and was active in the American Chamber of Commerce in Japan and the US-China Business Council.
