Lawyer Overview
Leon Ferera advises companies involved in a wide range of industries on M&A transactions. His experience includes acquisitions, disposals, private equity transactions, joint ventures, and equity subscriptions. He also has experience on capital markets transactions.
Representative transactions on which he has advised include: the sale by Procter & Gamble of its European tissue and paper towel business, the takeover offer for Viridian Plc, the contested takeover offer for domnick hunter group, Harsco Corporation's acquisition of the Northern hemisphere steel mills services business of Brambles, and various transactions for WL Ross and Co. and France Telecom.
Leon has particular experience in public takeovers, having been seconded for two years to the U.K.'s Takeover Panel Executive. During his time there he was responsible for regulating many takeovers of U.K. public companies, including the competitive dual listed holding company proposals relating to P&O Princess Cruises; the unsolicited offers for Bryant Group, Beazer Group, Esporta, and JAZZ FM; the offer by E.ON (U.K.) for Powergen undertaken by way of a scheme of arrangement; the offers for Harvey Nichols Group and LIFFE (Holdings); and various MBOs and take privates, including Lynx Group, Delancey Estates, Dewhirst Group, and Dixon Motors. While at the Panel he was secretary to the Code Committee, the body responsible for considering amendments to the Takeover Code.
