MISSION STATEMENT

Bronstein, Gewirtz & Grossman is a corporate litigation boutique, which also serves as trusted general counsel to small and mid-size business organizations. Our primary expertise is the aggressive pursuit of litigation claims on behalf of our clients. In addition to commercial litigation, the firm's expertise includes general corporate work, private securities offerings, patent and trademark matters and employment.

We are integral members of our clients' management teams. We assist clients in business tasks, such as the drafting of business plans and introducing clients to potential investors, and thereby add value beyond the strict confines of the legal arena.

Our clients include internet start-ups, hedge funds and a multi-national public telecommunications provider. The firm is committed to maintaining a flexible fee structure, including success and equity based compensation, so that our services are affordable to our clients.

OUR PRACTICE

Corporate & Securities Litigation

The firm has considerable experience in litigation involving corporate control issues and securities matters, as well as general commercial disputes. We routinely represent investors in private placements suing issuers who refuse to remove restrictive legends clients' shares. We successfully defended a publicly-traded Internet provider in a class action alleging false advertising with respect to customer support and unlimited access. We represented a New York foreign language newspaper in a litigation in which we obtained an injunction against one group of shareholders attempting to freeze our clients out of management.

Intellectual Property

We represent clients, especially in the Internet and software areas, to protect their intellectual property through patent and trademark application. We audit our clients' intellectual property and advise clients as to what combination of patent, trademark, copyright or contractual non-disclosure protection is appropriate. When necessary, we bring suit to protect our clients' intellectual property.

Corporate and Securities Transactions

We have represented numerous Internet start-ups in Regulation D private securities offerings. The firm represents clients in corporate mergers and acquisitions, generally between $1 million and $5 million in total value. We represented a national Internet provider in its acquisition of a number of regional providers. We are general counsel to an international telecommunications switching concern, structuring its contractual relations with alliance partners worldwide. We have negotiated dozens of e-commerce and software related agreements, including software bundling, web-site co-marketing and on-line services resale agreements.

Labor & Employment

We advise our clients to implement a human resources policy designed to minimize the risk of discrimination, sexual harassment and other labor-related claims. We represent clients in both courts and administrative bodies in connection with employment disputes.
