Russell Carmedy's practice focuses primarily on cross-border mergers and acquisitions, including private M&A transactions, public takeover bids, and leveraged private equity transactions. He recently has represented a number of the Firm's major clients in a variety of complex transactions in such sectors as natural resources, health care, and technology. Russell is Partner-in-Charge of the London Office.

Representative transactions include: Castorama Dubois Investissements S.C.A.'s $7.5 billion merger with B&Q PLC; Standard Bank's acquisition of the Jardine Flemming Bank from JPMorgan Chase Group; advising the management of Four Seasons Healthcare on its £1.15 billion disposal to Allianz; the initial public offering of Eurasian Natural Resources Plc on the Main Market of the London Stock Exchange and the $3 billion global offering of ordinary shares; advising Honda Motor Co. Ltd on the formation of BARH Limited, a joint venture with British American Tobacco (BAT), the subsequent acquisition of BAT's interest in BARH, the acquisition by BARH of BAR Grand Prix Limited, the Formula One racing company, and ultimately Honda's disposal of its interest in the team; and Gyrus Group Plc's tender offer for, and acquisition of, Somnus Medical Technologies.

In addition to his transactional practice, Russell works in the increasingly regulated area of corporate governance, working with directors to resolve issues relevant to their fiduciary duties and regulatory obligations. He frequently advises clients with respect to issues arising from the interaction of the legal regimes of the European Union, United Kingdom, and United States.
