Lawyer Overview

Christian Chandler represents public and private companies including numerous financial institutions on all aspects of their employee benefits and compensation programs. His experience includes:

• Advising on all aspects of executive compensation and employee benefits matters related to mergers and acquisitions, including related golden parachute tax issues;
• Handling plan design and compliance issues related to various non-qualified deferred compensation arrangements (e.g., supplemental executive retirement plans, non-qualified deferral plans, and excess benefit plans) as well as all forms of equity compensation plans including employee stock purchase plans;
• Negotiating and implementing executive employment agreements and severance arrangements; and
• Design and implementation of Employee Stock Ownership Plans (ESOPs) (leveraged and non-leveraged) as well as advising on plan compliance matters for other types of tax-qualified benefit plans.

In addition, Christian has advised clients on securities issues relating to employee benefit plans such as insider trading issues and the disclosure of compensation arrangements in securities filings.
