Bob Clarkson advises public and private companies on a variety of corporate finance and governance matters, including public offerings, private financings, SEC reporting and compliance, NASDAQ listing matters, mergers and acquisitions, board governance, board self-evaluations, and internal investigations. He regularly counsels boards of directors of both public and private companies. Bob's primary emphasis is on technology and emerging growth companies. He has extensive experience advising technology companies on a range of corporate matters, including initial start-up and financing of new companies, structuring employee equity incentive programs, mezzanine and IPO financings, M&A transactions, and technology joint ventures and similar arrangements. He has practiced law and business in Silicon Valley for more than 25 years. Bob also advises venture capital funds on investments and partner matters.

Notable clients with whom Bob works include the Committee of the Independent Directors of LECG Corporation, LinkedIn Corporation, Mark Logic Corporation, Monolithic Power Systems, Oclaro, SanDisk, Strongmail Systems, and Virage Logic. He also represents underwriters in public financing transactions, including Deutsche Bank, Goldman Sachs, and Morgan Stanley.

Before coming to Jones Day, Bob held positions as an operating executive with CKS Group and its successor entities, USWeb and MarchFirst. Bob also is chairman of the board of directors of Symmetricom, Inc., a NASDAQ-listed company, where he previously chaired both the governance and compensation committees and was a member of the audit committee.
