James Dougherty advises public and private companies on mergers and acquisitions, corporate governance, takeovers, takeover preparedness, joint ventures, and general corporate counseling matters. In the securities and commercial bank financing arenas, James has represented issuers, borrowers, underwriters, and administrative agents in private placements, IPOs, 144A offerings, and commercial lending transactions.

Representative M&A transactions include: Duchossois Industries' tender offer for AMX Corporation; MTC Technologies' merger with BAE Systems; multiple transactions for National City, including the sales of First Franklin to Merrill Lynch and National Processing to Bank of America; Nationwide Mutual's going private acquisition of Nationwide Financial Services; and multiple transactions for OM Group, including the sale of its nickel business to Norilsk and the acquisition of Rockwood's electronics business. James also represents New York-based investment banks in their capacity as financial advisors to acquirers and targets in public merger transactions.

Other companies with which James has worked on substantial matters include: Athersys, Cliffs Natural Resources, Developers Diversified, Diebold, Goldman Sachs, Harris Corporation, Jefferies, KeyBanc Capital Markets, Lincoln Electric, Olympic Steel, Park-Ohio, PolyOne, Resilience Capital Partners, Sherwin-Williams, J.M. Smucker, STERIS, and Timken.

Before joining Jones Day, James practiced with the law firm of Cravath, Swaine & Moore LLP, where he advised clients on numerous transactions, including the $7.8 billion acquisition of a U.S. pharmaceutical business, the $4.95 billion sale of a worldwide retail beauty care brand, and the $1.75 sale of a U.S. food business for $1.75 billion.
