Konstantin Kroll has more than 14 years of experience advising on complex cross-border transactions. His practice concentrates on debt and equity capital markets transactions, structured finance, and derivatives. He has acted for issuers and managers on Russian and international IPOs and has been involved in MICEX, LSE (AIM and primary market), Luxembourg, NYSE, and Irish listings. He advises on the issue of debt, equity, and synthetic instruments, including GDRs/ADRs, LPNs, CLNs, ELNs, and CDOs, exchangeable and convertible bonds, repackagings, and securitizations. Konstantin also has significant experience in a broad range of M&A, private equity, banking, and project finance transactions, including some of the largest M&A transactions in the energy, manufacturing, consumer, and banking sectors in the Russian market.

Prior to joining Jones Day, Konstantin was a partner in the Moscow office of an international law firm where he led the debt capital markets and derivatives practices in Russia. He acted as lead counsel in many public and private debt and equity transactions, including Eurobond issues by Russian Agricultural Bank, Bank Zenit, Bank St. Petersburg, Credit Europe Bank, RusHydro, and VEB Leasing; advised clients on equity investments in Promsvyazbank and Bank of Moscow; represented a consortium of major metallurgical companies on the acquisition of Tchelyabinsk Zink Plan; acted for Ingosstrakh on the disposal of SOVAG, a German insurance business; and represented a syndicate of western banks in the bankruptcy proceedings of Promstroybank.
