Lawyer Overview

Carsten Hollweg practices in the areas of corporate law/M&A, capital markets law, and international contract and commercial law. He has been involved in various cross-border transactions, in particular in the area of the steel and automotive industries. He also regularly advises U.S., German, other European, and Asian clients of the Firm on issues of securities law (including the preparation and filing of prospectuses for public offering of debt or equity with the German regulator BaFin), investment law (fund structuring and legal due diligence with a focus on open-end and closed-end real estate and wind energy funds), and banking and securitization law (ABS, CDO, and NPL transactions).

Another focus of his work is on the formation of corporations and the establishment of branches of foreign companies and the counseling on the issues of doing business in Germany. In the area of international contract and trade law, he regularly prepares purchase and supply contracts and authorized dealer agreements as well as related general terms and conditions, and he represents clients of the Firm in commercial litigation cases resulting from the negotiation or termination of international agency, distribution, and supply agreements. He also advises U.S. and Japanese clients of the Firm in product safety and product liability cases such as the implementation of the European WEEE/RoHS directives and asbestos regulations.

Prior to joining Jones Day, Carsten worked for other law firms and as an independent lawyer. He also completed a stage at the EU Commission's delegation to the United Nations in New York and worked as an assistant in the personal office of the mayor of Berlin, Mr. Eberhard Diepgen. He was a scholar of the Studienstiftung des deutschen Volkes (National German Scholarship Foundation) and the Konrad-Adenauer-Stiftung. Carsten is a member of the German-American Lawyers' Association (DAJV) and the Corporate Law Society (VGR).
