Lawyer Overview

Rob Marshall focuses his practice on global equity and executive compensation matters for U.S. and non-U.S. multinational companies where he counsels companies with a variety of legal issues relating to international stock plans, executive compensation, and employee benefits. Rob frequently assists clients with the tax, securities law, exchange control, data privacy, and labor law issues that arise when employee benefits are offered to employees of their international affiliates. Rob has assisted numerous companies with cross-border transactions as well, including mergers, acquisitions, and spin-offs and the issues that arise in the U.S. and worldwide. He also advises clients on meeting their international compliance and tax obligations related to option exchange programs and in establishing programs for globally mobile employees.

Rob has implemented equity programs for U.S. multinationals in more than 85 countries with substantial experience in Asia Pacific, Europe, and Latin America. Rob has assisted companies with their international securities filings and listing requirements. In addition, he has extensive experience with cross-border transactions worldwide, with a specific focus on Asia Pacific. Rob has assisted U.S. multinationals with their employment and severance agreements throughout the world and has developed worldwide recharge programs for equity plan costs in order to provide for local tax deductions and to reduce the expense for equity compensation in the U.S.

Rob is a member of the State Bar of California, the National Association of Stock Plan Professionals, and the Global Equity Organization. He was named one of the Bay Area's "best lawyers" by Bay Area Lawyer Magazine and has served as a guest speaker at international equity compensation conferences in North America and Europe.
