Lawyer Overview

John Lin's practice encompasses a broad range of mergers and acquisitions and cross-border transaction matters. His work includes representation of public and private clients, investment banks, and institutional investors in mergers (horizontal and vertical), reverse mergers, management and leveraged buyouts, syndicated loans, mezzanine financings, share swaps, spin-offs, joint ventures, delistings and going private transactions, corporate restructuring, private equity, intellectual property transactions, and technology licensing. John also has advised multinational corporations in high-tech, software, petrochemical, financial services, and venture capital industries on corporate financings, strategic alliances, joint research and development programs, distribution arrangements, employee relations, intellectual property portfolio audits and management, and multijurisdictional disputes.

John is a member of the New York State Bar Association and the State Bar of California. He is also a barrister member (non-practising) of the Honourable Society of Lincoln's Inn. John has contributed to the 2005 and 2006 antitrust year in review compilations of "Developments in Taiwan" published by the American Bar Association (International Law Section, International Antitrust Committee).

• Fresenius Medical Care AG in its US$38 million renal care services joint venture in Taiwan and Hong Kong with Enfield Medical Group

• Fresenius Medical Care AG in its US$21 million acquisition of the PRC manufacturing facilities of Bioteque Corporation

• Groupe Casino in its NT$785 million sale of 50 percent interest and termination of its joint venture in FE Geant Company Limited with Far Eastern Group in Taiwan

• WebsTV in its acquisition of the businesses of Blockbuster in Taiwan and creation of a franchise with Blockbuster

• UCI Cinemas, a Viacom affiliate, in connection with its termination of cinema management operations with and sale of assets and businesses to a leading department store chain in Taiwan

• ABBA Linear Tech in its US$61 million sale of controlling interests to SKF Bearings

• TaYa Electric Wire & Cable in its PRC joint venture with a Japanese solder materials manufacturing partner

• Aegis Group plc in its two-stage acquisition of the entire equity interests of a leading Taiwan outdoor media purchasing company

• the direct investment division of a major investment bank in its proposed bidding in the acquisition of Advanced Semiconductor Engineering Group

• Crimson Asia Capital in its various investments in and acquisitions of equity interests of listed and private companies throughout Greater China

• a dual listed (Taiwan and Hong Kong) metal materials group in its PRC joint venture project with a leading Canadian counterpart

• Diebold in its asset acquisition of the ATM-related businesses of Licent Information Technology, Cash & Card Plus

• a major private equity firm in its US$40 million acquisition of majority equity interests in a Taiwan-listed OLED manufacturer

• Electronic Arts in its various copyright and trademark licensing and enforcement matters in Taiwan and Greater China

• Cabot Microelectronics Corporation in connection with enforcement of its Taiwan patents against infringers

• CTS Corporation in its defense of criminal and civil patent infringement lawsuits in Taiwan as well as patent invalidation proceedings and subsequent administrative appeals

• a major laser appliances designer and manufacturer in connection with a U.S. design patent inventorship dispute and related lens utility patent infringement claims against infringing competitor

• Walsin Lihwa Corporation in its license royalties dispute with MEMSCAP, S.A. of France

• a petrochemical giant in Taiwan in its process license dispute with Dutch licensors

• a Silicon Valley IC design start-up in negotiating its joint development and technology transfer program with a leading consumer electronics giant in China and

• a major LED manufacturer in Taiwan in its IP audit and establishment of an IP management program

Cross-border disputes

• Yageo Corporation in its US$40 million dispute with certain minority shareholders of one of its business investments in California

• Standard Foods Corporation in its equipment purchases dispute with AVE Industries of Italy

• certain directors and shareholders of Pacific Electric Wire & Cable in relation to their more than US$200 million disputes with certain other shareholders over control and management leading to lawsuits being initiated in New York, Texas, and Taiwan as well as the subsequent settlement

• the major shareholders of Central Trading & Development Corporation with their disputes with certain minority shareholders leading to lawsuits being initiated in the Cayman Islands, West Samoa, and Taiwan as well as settlement negotiations and

• a leading Taiwan pharmaceuticals distributor with a distribution rights dispute with the French supplier of botulinum toxin and other products.
