Rich Kozlowski is a business lawyer who has counseled clients on all matters of corporate law, with an emphasis on mergers, acquisitions, divestitures, and other business combinations and transactions. He has represented both public and private companies in connection with stock purchase transactions, asset purchase transactions, employment arrangements, securities matters, and other business matters. Mr. Kozlowski has represented many clients in matters involving the organization and governance of corporations, partnerships, and limited liability companies. He provides legal advice in areas such as business formation and start-up operations, choice of entity, formation of joint ventures, purchase, sale, and leasing of real estate, and other day-to-day business operational matters.
In the past few years, Mr. Kozlowski has focused his practice on assisting clients with their joint ventures and other business transactions in the Peoples Republic of China. He lived in China for nearly four years while studying at universities in both Beijing, China, and Taipei, Taiwan, the Republic of China, and is fluent in Mandarin. Mr. Kozlowski also has a keen understanding and deep admiration of Chinese culture and uses these assets, together with his language capabilities, to help establish successful relationships between U.S. businesses and their Chinese counterparts.
Mr. Kozlowski has assisted both U.S. manufacturers and service providers with a wide variety of matters arising out of their China ventures. For example, he has drafted and negotiated joint venture agreements, intellectual property license agreements, consulting agreements, manufacturing agreements, confidentiality and non-competition agreements, supply contracts, and various other documents incorporating provisions tailored to protecting clients' interests in their international transactions. Mr. Kozlowski has also assisted clients with incorporating offshore holding companies and wholly foreign-owned enterprises in China in connection with their operations in China.
Mr. Kozlowski has written articles on such topics as doing business in China and land use rights in China.
