Lawyer Overview

Kiyo D. Oden represents corporations and individuals in a wide range of corporate and commercial transactions, including mergers and acquisitions, real estate transactions, joint ventures, corporate formation and governance, government contracting and immigration matters in the areas of technology, business consulting, telecommunications, health care, real estate, sports, entertainment and various other industries. Ms. Oden acts as outside general counsel on behalf of corporations, including non-profits and faith-based organizations, providing legal and business counsel on day-to-day business and legal affairs. Her work includes negotiating business deals, drafting and reviewing various contracts including: vendor contracts, independent contractor, joint venture and employment agreements. Ms. Oden's practice also includes securing outside litigation counsel and monitors litigation on behalf of corporate and individual clients.

Ms. Oden has extensive experience counseling, negotiating and closing a wide range of commercial transactions, including mergers and acquisitions, secured financings, real estate acquisitions, sales and purchases of businesses, SBA/government guaranteed lending, loan work-outs and franchise agreements in various business sectors. She has closed business sales and acquisitions in the areas of technology, physician/medical practices, restaurants and other industries, some involving financing secured by real estate, receivables, securities and equipment.

A strong supporter of entrepreneurism, Ms. Oden serves as general counsel to many small business clients. She counsels emerging business clients in matters ranging from business plan review, choice of proper corporate entity and incorporation to employment and non-compete agreements, commercial leasing and regulatory licensing matters. She is often called upon by her small business clients to provide cousel as it relates to their day-to-day business and legal affairs.

Ms. Oden's practice includes representation of sports and entertainment industry interests. Such representation includes high-profile professional athletes in player contracts, endorsement deal negotiations with worldwide brands and television licensing agreements with premium cable networks. She has also negotiated major venue/site agreemtns for World Championship boxing events, interfaced with state sports commissions on licensing and promotion issues, negotiated and drafted sponsorship deals and exclusive promotional agreements on behalf of a major boxing promotion company, monitored outside counsel in litigation and participated in arbitration and mediation proceedings on behalf of sports industry clients. Ms. Oden's entertainment practice includes representation of recording artists, songwriters and producers in the negotiation of recording and publishing companies and other talent agreements.
