Henry E. Forcier is Of Counsel in the Firm's Corporate Department and practices in the areas of private equity, mergers and acquisitions, securities law and corporate governance. Mr. Forcier has a significant background in the representation of private equity and venture capital investors in connection with both investment transactions and general representation of portfolio companies. A large part of his practice involves the representation of public and private companies, and investors, in mergers and acquisitions, business restructurings and other commercial transactions including intellectual property licenses, strategic alliances and supply and services agreement.

Mr. Forcier serves as general counsel to several emerging growth and middle market companies in a variety of industries including technology-based businesses, textile manufacturers, advertising companies and physician groups, providing counsel on various matters including governance issues, financings and other ongoing business matters. Mr. Forcier has considerable experience in the private placement of debt and equity securities and represent issuers and investors in respect of securities law issues and regulatory filings.

In addition, a significant part of Mr. Forcier's practice involves the representation of both companies and executives in the negotiation of employment, separation and non-competition agreements as well as in respect of other employment and consulting arrangements. As a company counselor, he regularly advises employers on the development and application of personnel and workplace policies.

Mr. Forcier received his J.D. from the University of Connecticut School of Law and is a graduate of Providence College. He is admitted to practice in New York, Connecticut, Massachusetts, and New Hampshire as well as the United District Court for the District of New Hampshire.
