Sara Keegan's litigation and regulatory practice focuses primarily on government investigations and civil proceedings related to criminal investigations, with a particular emphasis on securities and corporate governance litigation and the regulation of energy commodities. She has broad experience in commercial litigation in state and federal courts, including matters involving energy commodities, securities, antitrust, product liabilities, and the False Claims Act. Sara has significant recent experience in civil proceedings related to criminal investigations, particularly those involving the Commodity Exchange Act and Energy Policy Act of 2005. These matters include regulatory enforcement and criminal actions involving allegations of market manipulation and false reporting of energy transactions brought by the Commodity Futures Trading Commission, Department of Justice, and private civil litigants. She had an important role in a high-profile matter, including regulatory and grand jury investigations and multijurisdictional litigation, involving allegations of market manipulation in the "over-the-counter" propane market. Representative clients in public matters since joining Jones Day include BP America, Dell, Textron, Verizon Communications, and Washington Group International.

Recent matters include representation of:

• BP America in response to CFTC, FERC, and DOJ investigations and litigation involving allegations of market manipulation and false reporting in the natural gas, propane, and power markets

• Dell and present and former directors and officers in securities and derivative litigation in Texas federal and state courts and in Delaware Chancery Court and

• Textron in numerous product liability claims pending in multiple state court jurisdictions and in a federal multidistrict proceeding arising out of asserted product defect and failure to warn claims.

Prior to joining Jones Day, Sara practiced in the Atlanta office of McGuireWoods LLP where her practice focused on labor and employment law, particularly union avoidance campaigns across the United States. She has worked successfully with clients, including The Boeing Company and International Paper, in efforts to quell organizing efforts and defend unfair labor practice charges filed with the National Labor Relations Board.

In addition to extensive motion practice, Sara has participated in government investigations, taken and defended depositions, coordinated extensive electronic document reviews and productions, and coordinated discovery and fact investigations in connection with multiple class actions across the country. She has litigated cases in state and federal courts throughout the U.S., including appellate work in the Fourth, Fifth, Sixth, Eleventh, and D.C. Circuits. She also has experience handling cases before the U.S. Department of Justice, the Securities and Exchange Commission, the U.S. Commodity Futures Trading Commission, the National Labor Relations Board, and the Equal Employment Opportunity Commission.

Sara is active in community outreach programs and the Houston Bar Association. She is a member of the State Bars of Texas and Georgia.
