Lawyer Overview
Carl Black concentrates his practice in the representation of debtors, financial institutions, creditors, and other parties in restructuring matters, chapter 11 cases, and in commercial litigation and general commercial law, including fraudulent conveyance matters.
Carl has played an active role in the Firm's representation of debtors, secured lenders, asset purchasers, creditors' committees, and other parties in interest in large corporate restructurings, including representations of debtors in the chapter 11 cases of Burlington Industries, Dana Corporation, Imperial Home Decor Group, LTV Steel Company, Montgomery Ward & Co., NexPak Corporation, Oglebay Norton Company, and World Kitchen. Other matters include representation of: creditors' committee counsel in the GWI, Inc. and Specialty Foods Corporation chapter 11 case; National City Bank as a prepetition and postpetition lender in the Gibson-Homans Company chapter 11 case; Lucent as a prepetition secured lender in the AT&T Latin America chapter 11 case; International Paper as the largest unsecured creditor and a major contract party in the chapter 11 case of Androscoggin Energy; the Riverside Company in connection with certain troubled investments; Morganthaler Partners in connection with certain troubled investments; and Cablevision Systems Corporation and certain of its affiliates in an adversary proceeding in the chapter 11 case TW, Inc. seeking in excess of $300 million in damages.
Carl also has provided insolvency-related advice to Firm clients in litigation and transactional contexts and has participated in out-of-court restructurings on behalf of a variety of parties. In addition, he counsels clients on fraudulent conveyance, illegal dividend, preferential transfer, fiduciary duty, and corporate formalities issues and has represented entities in the related structuring and consummation of recapitalizations and other corporate transactions.
Carl was awarded an "up and coming" designation in the field of bankruptcy/restructuring in the 2007 and 2008 editions of Chambers USA: America's Leading Lawyers for Business. In 2005 and 2006, Carl was selected as an "Ohio Rising Star" by Law & Politics. He is a member of the Ohio State Bar Association, the Cleveland Metropolitan Bar Association, and the American Bankruptcy Institute.
