Joe Brenner is a co-vice chair of the firm's Securities Department, and a member of the Securities Litigation and Enforcement Practice Group. He joined the firm in 1983. Mr. Brenner's practice focuses on securities enforcement, internal corporate investigations, and related civil and criminal litigation.

Practice

Mr. Brenner has represented a wide range of public corporations, financial institutions, professional service partnerships and individuals in SEC and SRO investigations and enforcement proceedings involving the SEC, NASD and NYSE, and in related federal criminal investigations and private litigation. He has led and been involved in many audit committee, special committee and other internal corporate investigations. These matters have involved accounting, financial reporting and financial disclosures; securities and other financial frauds; insider trading; municipal securities; and securities sales practices.

Recent Highlights

Mr. Brenner has been involved in several of the most notable internal corporate investigations and securities enforcement matters in recent years. He represented the Special Investigative Committee of the Board of Directors of Enron Corp. in an investigation of transactions between Enron and partnerships controlled by its former chief financial officer. This work became part of the “Powers Report,” which reported on the roles of Enron’s management, board of directors, and outside professional advisors in the transactions. He also represented Qwest Communications International Inc. in a lengthy SEC investigation concerning its accounting and financial reporting. More recently, he has represented public companies and senior corporate officers and directors in significant government investigations concerning insider trading, and disclosure and valuation of sub-prime securities exposures.

Professional Activities

Mr. Brenner has spoken on securities enforcement, internal investigations and corporate governance to professional and industry groups, corporate boards and law school classes. He co-authored an article in the ABA’s Litigation magazine on internal investigations.
