Lawyer Overview

Bill Bryson has practiced law in New York and Taipei and has extensive experience in international investment, mergers and acquisitions, real estate, financing, technology licensing, construction, and other corporate transactions. His extensive experience in financial transactions includes syndicated and secured lending, securitization, and distressed asset acquisition and servicing in both China and Taiwan. Bill has been a particularly active player in the opening of the Taiwan and the China nonperforming loan (NPL) markets, having represented many of the major investors in each market. Bill's M&A experience includes major transactions in many industries, including the high-tech, automotive, maritime, cement, energy, construction, food, hospitality, and financial industries. Examples of his recent representations include:

• CLSA (a brokerage, investment banking, and private equity group) in its acquisition of a multiuse real estate project while it was still under construction, in Neihu, Taiwan

• Asia Financial Holdings, an affiliate of Temasek Holdings, in its bid for acquisition of a controlling stake in Chang Hwa Commercial Bank

• a major private equity group in the negotiation of its financing arrangements in connection with its potential acquisition of a major media group in Taiwan and

• AIG Capital in its acquisition of interests in three distressed debt portfolios owned by Colony Capital.

Bill is a member of the American Chamber of Commerce in Taipei, where he currently serves as cochair of the chamber's Capital Markets Committee and chair of the Publications Policy Committee. Bill is active in the chamber's lobbying efforts with the ROC and U.S. governments, is an advisor to the chamber's annual Taiwan White Paper (a compilation of position papers describing important issues faced by foreign companies in Taiwan), and is the author of the position papers submitted to the ROC government by the Capital Markets Committee.

Bill is also a member of the American Bar Association's Business Law and Litigation Sections and is a proctor member of the Maritime Law Association of the United States, where he serves on the Marine Finance Committee.

Bill has been recognized as a leading lawyer in the current editions of The Asia Pacific Legal 500 (for corporate/M&A) and Chambers Global. He was also identified by the 2006 Asialaw Leading Lawyers survey as highly acclaimed in banking and was nominated by in-house counsel and peers to appear in the fifth edition of the Guide to the World's Leading Mergers & Acquisitions Lawyers as a preeminent practitioner in this area.
