Robert A. Solomon is a business and securities lawyer who regularly provides advice to boards of directors, management and individuals on a variety of corporate, limited liability company, securities, merger and acquisition, and commercial dispute resolution matters. His practice includes the financing of domestic and international businesses through public offerings and private placements of equity or debt, representing buyers or sellers in merger and acquisition transactions, organizing domestic and international joint ventures, partnerships, corporations and limited liability companies, advising clients on compliance matters under United States securities laws, listing of international companies on stock markets in the United States and negotiation and preparation of domestic and international joint venture, partnership, shareholder, employment, consulting, distribution, agency, sales, confidentiality, non-competition, electronic commerce and technology licensing agreements. Over his career, Mr. Solomon has provided legal services to clients in a variety of industries, including technology, telecommunications, energy, manufacturing, software, financial services and insurance.
Mr. Solomon is the co-author of the U.S. Securities Law Chapter of the BNA International publication on International Securities Law (1998). He is a regular chair, speaker and moderator on corporate, transactional and commercial dispute resolution matters.
Mr. Solomon is an active participant in the International Business Law Consortium (Salzburg, Austria), a group of approximately 92 law firms located around the world and Interlegal (The Hague, Netherlands), a group of approximately 38 law firms located around the world. By participating in these legal groups, Mr. Solomon can assist clients with their international legal needs.
He is a member of the American Bar Association and a member of the ABA Committee on Corporate Governance as well as the subcommittees on International Developments in Corporate Governance and on Corporate Governance Guidelines. He is also a member of the International Bar Association, Section on Business Law. He is an Honorary Fellow of the Center for International Legal Studies (Salzburg, Austria) and a member of the Congress of Fellows.
Mr. Solomon received his law degree from Hofstra University School of Law (J.D., 1982) and his undergraduate degree from Queens College, CUNY (B.A., 1979, Honors in History). Mr. Solomon is admitted to practice in the states of New York and Colorado.
