Lawyer Overview

Brian Wesol is engaged primarily in the representation of corporate and government issuers and underwriters in all aspects of capital markets transactions, including global offerings of equity, debt, convertible, and exchangeable securities by Asian issuers. Brian has more than 15 years of capital markets experience, including 12 years working in Asia. His practice also includes the representation of corporations and financial institutions based in Asia and multinational corporations and international investors seeking to invest in Asia in connection with their bank financings, acquisitions and dispositions, joint ventures, and corporate and group restructurings. Most of the companies Brian has advised are based in Southeast and South Asia, particularly in the countries of Indonesia, Thailand, Singapore, and India, but he also has represented companies based in the Netherlands, the Russian Federation, and the United States.

Brian has been working with Asian clients since early 1994. He spent the first part of his legal career at White & Case and was resident in their Indonesian office for seven years and their Singapore office for five years. In addition, while at White & Case, he was on a two-year secondment at Ali Budiardjo, Nugroho, Reksodiputro, an Indonesian law firm in Jakarta, from March 2003 to May 2005. Brian joined Jones Day in August 2008.

Brian has led some of the highest profile global securities offerings by Asian issuers over the years, with a number of recent transactions he has led winning awards and accolades from leading international legal and financial publications and organizations. Brian was the lead attorney representing IndoCoal Exports (Cayman) Limited, PT Kaltim Prima Coal (KPC), and PT Arutmin Indonesia (AI) in a US$600 million Rule 144A/Regulation S offering of notes securitized by the existing and future coal export receivables of KPC and AI, which closed in June 2005. This transaction was the first cross-border securitization and first investment-grade bond deal out of Indonesia since the beginning of the Asian financial crisis in 1997 and the standout deal of 2005 in the ABS market. The deal was recognized in numerous "deal of the year" categories by IFLR Asia Awards, the International Securitisation Report, the IFR Asia Awards, FinanceAsia, The Asset, Asset Securitisation Report, and Asiamoney Awards, including "Most Innovative Deal for 2005" at the FinanceAsia Achievement Awards.

In October 2006, Brian again represented the three companies in a refinancing of the first series of securitized export receivables notes, which Asian Legal Business awarded the "SE Asia Structured Finance and Securitisation Deal of the Year." In February 2007, he represented the Republic of Indonesia (acting through its Ministry of Finance) in a Rule 144A/Regulation S global offering of US$1.5 billion 6.625% Bonds due 2037, and this transaction was awarded "Debt Market Deal of the Year" by Asian Legal Business.

In May and June 2008, Brian was the lead attorney representing the Republic of Indonesia in its US$2.2 billion global bond offering of sovereign bonds, the largest single bond offering ever undertaken by the country. This global transaction was completed in a record time of five weeks — which is less than half the normal transaction time. The global offering involved reopening three previously issued series of Indonesian bonds, a complex delisting of the old bonds due 2014 from the regulated market (the Bourse de Luxembourg) of the Luxembourg Stock Exchange, and a new listing of old bonds due 2014 on the Singapore Stock Exchange. The new bonds due 2018 and the new bonds due 2038 were likewise listed in Singapore.

In 2008, Brian was cited as one of the leading international legal lawyers for capital markets transactions in Indonesia by Chambers Asia.
