Lawyer Overview

Tom Jones practices in the area of complex litigation, with extensive experience in securities litigation and corporate acquisition litigation. He has represented companies, officers and directors, and investment banks in multiple state and federal courts in class action securities fraud suits and in matters involving change in corporate control. He has represented and advised corporate officers and directors on issues relating to fiduciary duties, exercise of options, business valuation, corporate governance, the structure of change in control transactions, disclosure, directors and officers insurance, due diligence, and other litigation-related matters.

Tom has acted as lead or co-lead counsel in numerous commercial arbitrations, including matters involving the valuation and disposition of securities by officers and investors in a publicly held corporation, disputes over commercial agreements, and litigation contesting the responsibility for product failure in the aviation industry. In addition, he recently acted as lead counsel in litigation regarding a post-acquisition valuation dispute and the application of alternative dispute resolution procedures to that matter.

Tom also has acted as counsel in product liability and environmental exposure matters. He has extensive experience in the application of novel science in the courtroom and has successfully excluded numerous experts at trial.
