Lawyer Overview

Don Brodsky focuses his practice on federal securities laws matters, concentrated on serving as long-term outside general counsel to NYSE-listed companies, particularly in the oil and gas exploration and production industry. He has extensive experience with a wide range of public and private offerings of debt and equity securities; continuing SEC reporting and compliance; public and private mergers, acquisitions, exchange offers, reorganizations and asset purchases; going private transactions; public and private investment partnership formation and operations; initial public offerings; and corporate governance, conflict of interest and executive compensation issues.

Mr. Brodsky often has represented clients in structuring business arrangements unique to the oil and gas industry, along with issues involving oil and gas full cost accounting rules, independent petroleum engineering reports and compensation based upon industry performance measures. He has structured and organized over 100 public and private oil and gas partnerships, including their fund-raising, asset purchases, liquidation and deregistration.

Mr. Brodsky also has done substantial work counseling clients in the healthcare industry, especially physician-owned outpatient entities.
