Lawyer Overview

Terry is a partner in the firm and regularly advises company directors and management on business strategies, fiduciary responsibilities, debt restructuring issues, acquisitions and technology transfers. In addition, he has extensive experience in merger and acquisition transactions, securities regulation, complex financing and venture capital transactions, joint ventures and other collaborative arrangements, as well as technology licenses and other forms of technology transfer. In the past few years, Terry led merger and acquisition teams in connection with public and private company acquisitions and divestitures in deals ranging in size from tens of millions to hundreds of millions of dollars. Many of the transactions on which Terry works involve worldwide businesses and extensive cross-border coordination.

Terry serves on the board of directors of companies in various industries, including information technology, medical devices and the life sciences.

He is a frequent lecturer at business and professional programs; topics have included programs devoted to international licensing and distribution, financing technology-based companies, federal securities regulations relating to public and private offerings of securities, issues affecting the health care and biotechnology industries, and negotiation strategies.

Terry is a Lecturer at Yale University teaching a Constitutional Law and Social Policy course in the University's College Seminar Program. He is an Associate Fellow of Saybrook College of Yale University.

Terry is also active as a Board member in several charities, with particular emphasis on charities devoted to issues affecting children and affecting the environment. Terry is also a member of the Board of Directors of Long Wharf Theatre, a leading regional theatre.
