Lawyer Overview

George Barsness practices corporate and securities law. His practice has involved a full range of corporate finance transactions, including initial public offerings, follow-on common stock and preferred stock offerings, debt and equity shelf takedowns, secondary offerings, Rule 144A/resale registration transactions, mergers and acquisitions, and spin-offs. He has extensive issuer experience having represented issuers in a variety of industries for more than the past 20 years.

In addition to corporate finance transactions, George regularly advises clients on U.S. Securities and Exchange Commission (SEC) reporting requirements, including the preparation of annual reports to stockholders, proxy statements and Form 10-K, 10-Q and 8-K filings, and with respect to SEC accounting requirements. He also advises clients on the Sarbanes-Oxley Act, New York Stock Exchange, and other corporate governance matters and with respect to corporate law matters.  

In the last several years, a significant part of George's practice has been focused in the real estate investment trust (REIT) and health care areas.
