Lawyer Overview
Eric Landau's practice focuses on securities litigation and corporate governance. As a trial attorney, Eric represents public and private companies, as well as their directors and officers, against shareholder class and derivative actions before federal and state courts throughout the U.S. As a corporate counselor, he handles issues related to hostile and friendly acquisitions, proxy fights, financial accounting, public offerings, and executive compensation. He regularly serves as legal advisor in conjunction with mergers and acquisitions and as independent counsel for special committees, audit committees, and other subcommittees of boards of directors charged with corporate oversight responsibility.
Recently, in a shareholder class action for breach of fiduciary duty following the announcement of a public merger, Eric and his team defeated class certification, which resulted in a voluntary dismissal of the entire case following the shareholder's unsuccessful appeal. Also recently, Eric and a team of seasoned securities litigators and deal lawyers handled all aspects of a complex international transaction for a prominent spirits company, which involved a stock repurchase and sale, a corporate redomiciliation from the British West Indies to Switzerland, the establishment of a new form of governance structure, and the settlement of three different lawsuits pending in three different countries.
Eric has served as a member of the board of advisors of RAND Corporation's Center for Corporate Ethics & Governance, a Fellow of the Litigation Counsel of America, a delegate to the Ninth Circuit Judicial Conference, and a director of the Orange County Chapter of the Federal Bar Association.
