Eric Landau is a seasoned and respected advocate and advisor on legal issues pertaining to corporate governance, securities, accounting, and finance. Eric has been honored numerous times over the course of his career. For example, has been named "Securities Lawyer of the Year" by the Century City Bar Association. He has served as an attorney delegate to the Ninth Circuit Judicial Conference. Los Angeles Magazine has named him one of Southern California's "Super Lawyers" in the field of securities litigation. He has served on the board of advisors of RAND Corporation's Center for Corporate Ethics and Governance. And recently, The Lawdragon named him as one of the "100 lawyers you need to know in securities litigation."
As a trial attorney, Eric represents public and private companies, accounting firms, and underwriters against shareholder class and derivative actions before federal and state courts throughout the country. His practice also includes the representation of corporate executives before the Securities and Exchange Commission, other governmental agencies, and self-regulatory organizations. Eric and his team often have obtained favorable outcomes for clients without a trial, with a strong record of prevailing on motions to dismiss, by summary judgment, and by settling on terms that achieve the client's substantive litigation goals while avoiding the costs and uncertainty of trial and the appellate process.
One of Eric's more notable trial victories involved the successful representation of the management of a $9 billion insurance holding company against claims for federal and state securities fraud, breach of fiduciary duty, and violation of state insurance laws arising out of the company's "junk bond" portfolio. As co-trial counsel, Eric obtained a jury verdict on all counts in favor of the defense. The Fourth Circuit later affirmed the judgment and reinstated management's claim for attorneys' fees and costs (Gross v. Weingarten, 217 F.3d 208 (4th Cir. 2000)). Ultimately, management recovered attorneys' fees and costs in excess of $3 million.
As a corporate counselor, Eric handles a wide range of corporate governance issues related to hostile and friendly acquisitions, proxy fights, financial accounting, financing, public offerings, affiliate transactions, and executive compensation. He regularly serves as independent counsel for special committees and as legal advisor to audit committees and other subcommittees of the board of directors charged with oversight of general accounting functions and internal controls. Eric's clients have included leaders in gaming, energy, entertainment, finance, accounting, fashion, transportation, health care, insurance, and real estate.
