A partner in the Corporate Department, Angelo Bonvino is a member of the Mergers and Acquisitions and Private Equity Groups. Mr. Bonvino focuses his practice on mergers and acquisitions and private equity investments and advises clients in their M&A, leverage buy-outs, joint ventures, restructuring and recapitalization transactions.
As part of his practice, Mr. Bonvino represents private equity funds and hedge funds, including Oak Hill Capital Partners, Kohlberg & Company, Oaktree Capital, Protostar Partners, KPS Special Situations Fund, Pardus Capital and Harbinger Capital Partners, as well as public companies, including Polo Ralph Lauren.
Mr. Bonvino's recent experience includes representation of:
- Bauer Hockey, a portfolio company of Kohlberg & Company, in the acquisition of Mission Itech Hockey;
- Kohlberg & Company and W. Graeme Roustan in the 200 million acquisition of the Bauer Hockey subsidiary of Nike Inc.;
- Kohlberg & Company in the purchase of the Hoffmaster division of Solo Cup Company;
- Protostar Partners in their acquisition of five portfolio companies from Blue Point Capital Partners, LP;
- Onecare, a portfolio company of Protostar Partners, in their purchase of the Dryel home dry-cleaning business from Procter & Gamble;
- Harbinger Capital Partners in connection with a hostile proxy fight and hostile tender offer for Ogleby Norton Company;
- KPS Special Situations Funds in the sale of Blue Ridge Paper Company to the Rank Group;
- KPS Special Situations Funds in the sale of Wire Rope Corporation of America, Inc. to Fox Paine Capital Fund III;
- Polo Ralph Lauren in the purchase of NBC's and ValueVision's 50 percent ownership in Polo.com;
- Kohlberg & Company in the acquisition of Hawkeye Concrete Products Co., a manufacturer of machinery for the manufacture of precast concrete products;
- Kohlberg & Company in the purchase of Nielsen & Bainbridge, the leading global designer, manufacturer and marketer of products for the custom framing market, from The Jordan Company LP;
- Kohlberg & Company in the sale by auction of its portfolio company Behavioral Interventions Incorporated to Quad-C Management, Inc.;
- the management group of Sports Authority Inc. in a 1.3 billion going private transaction; and
- Oak Hill Capital Partners II, L.P., in connection with the merger of The Butler Company and Burns Veterinary Supply, Inc., creating the nation's leading distributor of animal health products and services to veterinarians.
Mr. Bonvino was selected as one of the Lawdragon 500 New Stars in 2006, and recently authored an article in International Financial Law Review, discussing how to formulate and negotiate the complex but important working capital adjustments in an acquisition. He is also the author of "PIPE Fitting," an article discussing the importance of being mindful of, and ensuring compliance with, relevant stock exchange rules in private investments in public equities (PIPEs) which appeared in the June 2009 edition of The Deal.
Mr. Bonvino served as an articles editor for the Brooklyn Law Review and was a member of the Moot Court Honor Society.
