Lawyer Overview

Dan Bacastow's practice is concentrated in tax-exempt finance for health care and higher educational institutions throughout the United States. His practice includes service as bond, underwriter's, bank, and borrower's counsel in health care and higher education finance matters. His experience consists of structuring, negotiating, drafting, and implementing fixed rate, variable rate, and multimodal and put bond structures and restructuring auction and inverse auction structures as bond, borrower's, and underwriter's counsel for a broad range of tax-exempt bond issuers, underwriters, and health care systems. He has negotiated and structured health care and university issues secured by mortgages, master trust indentures, letters of credit, liquidity facilities, revenue pledges, general obligation pledges, and non-recourse pledges of specific assets and also has structured off-balance sheet lease transactions for health care borrowers. Dan also routinely advises health care and university clients regarding continued compliance with tax-exempt bond document covenants and speaks regularly before industry groups regarding compliance and regulatory developments in the tax-exempt finance arena. Representative clients in recent matters include the South Dakota Health and Educational Facilities Authority, the Illinois Finance Authority, Morgan Stanley & Co. Incorporated, J.P. Morgan Securities, Piper Jaffray & Co., Banc of America Securities, William Blair & Co., Avera Health, The Cleveland Clinic Foundation, Regional Health (Rapid City, South Dakota), and Sanford Health System.

For seven years Dan served as a member of the board of trustees of Huntington International Currency Portfolios, a group of open-end, nondiversified mutual funds. Dan counsels clients in structuring appropriate investment strategies for tax-exempt bond proceeds, and he has spoken to industry groups on all facets of tax-exempt finance, including most recently on the causes and aftermath of the mortgage and credit market crisis.

Dan is a member of the bar of the State of Illinois, the American Health Lawyers Association and its Tax and Finance Practice Group, and the National Association of Bond Lawyers.
