Lawyer Overview

Robert K. Rupp is a business lawyer. He counsels and assists businesses in a wide variety of matters, from financings, joint ventures, business affiliations, formations of entities and mergers and acquisitions to traditional contractual and other business matters arising in the day-to-day operation of a business. Mr. Rupp is creative and innovative in problem solving and often serves as the architect to various business ventures.

Mr. Rupp handles a significant number of business acquisitions, mergers and sales of businesses. Recent transactions have involved acquisitions or sales of consulting firms, third party administrators, hospitals, physician practices, insurance companies (both mutual and stock), engineering companies, computer software companies, distribution companies, oil and gas companies, retail chains and stores, construction companies and manufacturing operations.

Mr. Rupp also practices in the securities area. He represents clients who are "going public" through the registration process with the Securities and Exchange Commission and state securities authorities. He also assists companies with their reporting and other obligations under the Securities Exchange Act of 1934. Mr. Rupp's practice includes private offerings and venture capital financings for businesses at various stages of financing. His financing experience also includes the representation of companies in debt financings.

Mr. Rupp's experience also extends to nonprofit corporations and the particular issues facing nonprofit entities. He has been involved in a number of nonprofit corporate reorganizations and entity formations and with the acquisition of nonprofit businesses. Mr. Rupp currently serves on the board of trustees of two 501(c)(3) charitable corporations.

Mr. Rupp's corporate practice has involved him in a wide variety of issues for clients, including choice of entity, formations of corporations, limited liability companies, partnerships and joint ventures, preparation of close corporation agreements, buy-sell and other similar agreements, assisting in software and other technology licensing agreements, assisting clients in corporate control and voting matters and with other corporate and operational issues.

Mr. Rupp's practice has also involved international aspects. He has worked on foreign trade zone matters for a general purpose zone and for a subzone, and has been involved in the acquisition of a European manufacturing facility. Mr. Rupp also has assisted clients with technology licensing and distribution arrangements in foreign countries.
