Lawyer Overview
Mark Borden is a partner and former chair of the Corporate Practice Group. He joined the firm in 1976. His practice concentrates primarily in the areas of securities law, corporate finance and acquisitions.
Practice
Mr. Borden has over thirty years of experience in representing private and public companies. His public company clients include Airvana, Analog Devices, Avid, BJ's Wholesale Club, Idexx Laboratories, MKS Instruments, Red Hat, Sepracor, Starent Networks, Staples, State Street, Stream Global Services and Wright Express.
Mr. Borden has represented companies and underwriters in over 100 public offerings. Underwriters that he has represented include Goldman Sachs & Co., Morgan Stanley, Credit Suisse and Lehman.
In the acquisitions area, Mr. Borden has extensive experience both in structuring acquisitions and in designing defenses against unsolicited takeovers.
Professional Activities
Mr. Borden has lectured at various seminars sponsored by MCLE and the Massachusetts Bar Association, on topics relating to public offerings, securities laws, and takeover defenses. Mr. Borden served as a member of the subcommittee of the Boston Bar Association that drafted the Massachusetts Control Share Acquisition Act. He served on the special task force of the Boston Bar Association that drafted the Massachusetts corporations statute.
Honors and Awards
Mr. Borden was listed as a leader in the private equity field in the 2008 edition of Chambers Global: The World's Leading Lawyers. He was recognized as a leader in the corporate/M&A, private equity: venture capital investment category in the 2007, 2008 and 2009 editions of Chambers USA: America's Leading Lawyers for Business. He is recognized as one of Boston's top corporate lawyers in the PLC Which Lawyer? Yearbook for 2006 and 2007/2008. Mr. Borden is also consistently recommended by his peers for inclusion in The Best Lawyers in America, and has appeared in the New England Super Lawyer (formerly "Massachusetts Super Lawyer") list, as published in Boston Magazine, since 2004. In 2008 and 2010, Mr. Borden was named by Best Lawyers as Boston Corporate Lawyer of the Year.Publications
