Lawyer Overview
Richard's practice focuses on mergers and acquisitions, corporate joint ventures and strategic alliances, counseling on corporate governance, and technology transactions. He is also an adjunct member of the general tax practice and has extensive experience in the taxation of corporate reorganizations and partnerships.
Richard has been lead counsel in numerous corporate transactions involving public and private corporations, including mergers and acquisitions, sales of assets, spin-offs, limited partnerships, and capital formation techniques, as well as a variety of e-commerce joint ventures involving multiple domestic airlines and other strategic corporate alliances.
Richard is a Life Member of The American Law Institute, a Fellow of the American College of Tax Counsel, a Life Fellow of the Texas Bar Foundation, and serves on the advisory boards of BNA/Tax Management and the Northwestern Law Securities Regulation Institute. He previously was a council member on the Council of the Taxation Section of the American Bar Association and also served as chair of the Corporate Stockholder Relationships Committee. Richard was the founder and served for 14 years as chair of The Center for American and International Law's (formerly the Southwestern Legal Foundation's) Symposium on Securities Regulation, Corporate and Tax Aspects of Securities Transactions. He was chair of The Alumni Curriculum Advisory Committee of The University of Texas School of Law and was the first recipient of the Faculty Award for outstanding contributions to the law school.
Richard also has been involved for many years in a wide variety of civic and community activities. He was president and chairman of the Dallas Symphony Orchestra and continues to serve on the President's Council. He is a member of the Executive Committee of The Center for American and International Law and is a former director of the SMU Willis M. Tate Distinguished Lecture Series, the SBC-SMU Athletic Forum, the Dallas Institute of the Humanities, Pine Manor College, St. Mark's School of Texas, and The Greenhill School. He is a member of the board of directors of the Dallas Center For the Performing Arts and from 1992 to 1996 served as president of Sun & Star. Richard also served as chairman of Southwest Outward Bound at the time of its merger with Colorado Outward Bound and subsequently was a member of Colorado Outward Bound's Executive Committee. He continues to serve on the advisory board.
Richard previously served on the boards of directors of several public companies, including Centex Corporation, Fidelity Union Life Insurance Company, GLI Holdings, Inc. (Greyhound), Saxon Oil Company, and others.
He is listed in Who's Who in America and Who's Who in American Law and has been listed in The Best Lawyers in America for 25 consecutive years. He has lectured extensively on corporate and tax matters at institutes and legal symposia throughout the U.S.
