Joseph P. Boeckman focuses his legal practice on transactional business law with an emphasis on securities, private capital, insurance, mergers and acquisitions and corporate matters.

In securities matters, Mr. Boeckman has represented clients in connection with initial public offerings and secondary offerings involving both issuers and shareholders. Mr. Boeckman has also represented clients in private capital-raising efforts, including equity, debt, and venture capital financings. He has represented publicly traded companies in "going-private" transactions and Rule 144A offerings. Mr. Boeckman is a member of the firm’s Private Capital and Securities and Corporate Governance Practice Teams.

Mr. Boeckman counsels clients regarding their ongoing disclosure and public reporting obligations under the securities laws, including Regulation FD, periodic reporting, proxy statement and annual meeting, and Section 16 matters. He also counsels public companies on corporate governance matters related to the Sarbanes-Oxley Act and New York Stock Exchange and NASDAQ Stock Market rules.

Mr. Boeckman has extensive experience in representing mutual and stock insurance companies, managed care organizations, health maintenance organizations and other regulated entities in transactional and regulatory matters before the Ohio Department of Insurance and other state regulatory agencies.

Mr. Boeckman has represented both public and private companies in connection with negotiating and structuring various kinds of mergers, acquisitions, divestitures and joint ventures.

Mr. Boeckman also has experience in general corporate and business matters, including entity selection analysis, business planning, executive compensation arrangements, employment agreements, buy-sell and close corporation agreements, and confidentiality and noncompetition arrangements.

Mr. Boeckman is a member of the Columbus Venture Network and the Advisory Board of the Columbus chapter of The Entrepreneurship Institute. He is also a member of the American, Ohio State, and Columbus Bar Associations.
