Lawyer Overview

In his more than 30 years in the legal field, David has built a business law practice of national and international scope. He practices principally in the areas of:

• Corporate finance and securities
• Mergers and acquisitions
• Joint ventures
• International law

David has handled strategic transactions on behalf of clients in a wide variety of industries (such as waste management, high-tech, alternative energy, medical products, health care and Internet real estate). In many instances, he has acted as principal negotiator in notable corporate finance, strategic alliance or merger/acquisition projects, advising on secured and unsecured institutional financings, public and private offerings, recapitalization and restructuring of debt, and technology transfers, also assisting with the handling of related real property, goods and services, and intellectual property.

David’s practice also includes advising boards of directors and executive management on matters of fiduciary duty, shareholder value, corporate governance and Sarbanes-Oxley (SOX), shareholder relations, corporate finance, mergers and acquisitions, and executive compensation.

Before joining private practice, David first served as assistant general counsel to Control Data Corporation, handling mergers and acquisitions, securities and corporate finance matters. In this capacity, he also advised two internal venture capital funds with more than 180 investments. In the mid-1980s, David joined the company’s data storage subsidiary, Imprimis Technology Inc., as general counsel. He assumed responsibility of strategic transaction negotiations, critical technology licensing rights, implemention of an export licensing compliance program, government relations, and management of its intellectual property team and 500-patent portfolio.

David is a member of the Hennepin County, Minnesota State and American Bar associations. He is on the executive council of the Minnesota State Bar Association’s Business Law Section. In recent years, David has devoted hours to pro bono asylum cases received through Minnesota Advocates for Human Rights.

David graduated cum laude from Holy Cross College with a B.A. in English. He received his J.D. from Marquette University Law School, where he was editor-in-chief of the law review. He joined Briggs in 2007 after practicing with another Minneapolis firm for more than 17 years.
