Hugh Chapman has lived and practiced law for significant periods of time in both the U.K. and the U.S. and is qualified as a lawyer in England and Washington, D.C. He has been with the Jones Day London Office since its inception in 1986 providing advice on a broad range of legal issues affecting businesses. Hugh has been involved in a wide variety of general corporate and commercial matters as well as M&A transactions and joint ventures in the United Kingdom and the United States and in an international context, working with European, Japanese, and American businessmen and investors in the U.S., Europe, the Middle East, and Japan. He also has extensive experience in a variety of international corporate work in other parts of the world, including Australia.

Hugh's broad involvement over a long period of time with various corporate clients in an M&A context and in advising on their ongoing businesses has led to his being active in the hotel and telecommunications and IT sectors as well as in outsourcing and corporate real estate. In the hotel sector, Hugh led the Jones Day team in Europe involved with Saison's acquisition of InterContinental and their subsequent joint venture with SAS and was extensively involved in Saison and InterContinental matters for several years. He continues to work for hotel clients including recent work for Hilton and Thistle.

In the telecommunications and information technology area, Hugh has worked with clients such as Nextel Communications and other software companies. In outsourcing, he has been involved in complex negotiations of outsourcing agreements to service providers in the computer and real estate management and advisory businesses for clients such as CB Richard Ellis.

In corporate real estate, Hugh has been a part of Jones Day's worldwide service team for corporate clients and advised a variety of major corporations including The Timken Company in its disposal of a major brownfield site in the Midlands.

Hugh's involvement in M&A transactions include the following:

• Saison Group's acquisition of InterContinental Hotels from Grand Metropolitan plc and its joint venture with Scandinavian Airline Systems and the subsequent dissolution of that joint venture

• Westbrook Partners joint venture of the Carnegie Club and Skibo Castle and Stapleford Park Hotels and the subsequent disposal of both businesses

• La Poste's acquisition of Mayne Nickless

• Hughes Aircraft Company's sale of its U.K. and U.S. flight simulator business to Thomson CFS

• Policy Management Systems Corporation's joint venture with NM Financial Management Group Services Limited

• The Timken Company's acquisition of a variety of businesses, including: the U.K. assets and aerospace business of The Torrington Company Limited, Desford Steel Tubes Limited, and Sanderson Kayser

• REI Limited's acquisition and/or joint ventures of real estate advisory businesses over a 10-year period in the U.S., France, Italy, South America, Thailand, Australia, and New Zealand

• the sale of REI Limited to CB Commercial Real Estate Services Limited, a New York Stock Exchange-listed company, for part cash and part shares and joint ventures and licensing arrangements for CB Richard Ellis in a variety of countries in Europe, the Middle East, and Africa

• Sterling Software's acquisition of Texas Instruments' software businesses in 16 countries

• Simon Group's acquisition/joint venture of BEG in France, Italy, Spain, Portugal, Turkey, and Poland and

• Simon Group's joint venture involvement in Tecient Limited.
